MINUTES of a regular meeting of the Board of Trustees of the

Holiday Shores Sanitary District held at the District’s office,

97 Holiday Dam Road, Edwardsville, Illinois at 6:00 o’clock P.M., on April 12, 2021. 

               The meeting of the Board of Trustees of the Holiday Shores Sanitary District (the “District”), Madison County, Illinois, was called to order by President Brennan A. Murphy, and upon the roll being called, the President and the following Board member were physically present at said location: Brennan A. Murphy, Jeffrey Sedlacek and Richard D. Hayes.

               The following Board Members were absent and did not participate in the meeting: None.

               The President announced that the next item on the agenda would be the issuance of the District’s $2,721,475 General Obligation (Limited Tax) Refunding Debt Certificates, Series 2021 and that the Board would consider the adoption of an ordinance providing for the issue of said debt certificates.

               Whereupon the following ordinance was presented, copies of which were made available to all in attendance at said meeting who requested a copy.

               Board member Hayes moved and Board member Sedlacek seconded the motion that said ordinance as presented be adopted.

After a full discussion thereof, the President directed that the roll be called for a vote upon the motion to adopt said ordinance. Upon the roll being called, the following members voted:

AYE: Brennan A. Murphy, Jeffrey Sedlacek and Richard D. Hayes

NAY: None

               Whereupon the President declared the motion carried and said ordinance adopted and directed the Clerk to record the same in the records of the Board of Trustees of the Holiday Shores Sanitary District, which was done.

               Other business not pertinent to the adoption of said ordinance was duly transacted at the meeting.

               Upon motion duly made, seconded and carried, the meeting was adjourned.

Certification of Minutes

               I, Carla Lankster, do hereby certify that I am the duly qualified and acting Clerk of the Holiday Shores Sanitary District (the “District”), Madison County, Illinois, and as such official am the keeper of the record and files of the Board of Trustees of the District (the “Board”).

               I do further certify that the foregoing constitutes a full, true and complete transcript of the minutes of the regular meeting of the Board held on April 12, 2021, insofar as same relates to the adoption of Ordinance No. 2021-01 (the “Ordinance”) entitled:

ORDINANCE authorizing and providing for an Installment Purchase Agreement to refinance the cost of acquiring, constructing and installing capital facilities of the Holiday Shores Sanitary District and authorizing and providing for the refunding of prior debt certificates with the issuance of General Obligation (Limited Tax) Refunding Debt Certificates, Series 2021

a true, correct and complete copy of which said Ordinance as adopted at said meeting appears in the foregoing transcript of the minutes of said meeting, and that such Ordinance has not been altered, amended, repealed or revoked, but is in full force and effect.

               I do further certify that the meeting was held in compliance with the provisions of the Open Meetings Act and that at least 48 hours prior to the meeting the attached public notice and agenda of the meeting was (a) prominently posted in a public place ant the principal office of the Board more than 48 hours before the meeting; and (b) mailed or hand delivered to all newspapers, television stations, radio stations and medium that had requested such notice be given to them.

               I do further certify that the deliberations of the Board on the adoption of said ordinance were conducted openly, that the vote on the adoption of said ordinance was taken openly, that said meeting was called and held at a specified time and place convenient to the public, that notice of said meeting was duly given to all of the news media requesting such notice, that said meeting was called and held in strict compliance with the provisions of the Open Meetings Act of the State of Illinois, as amended, and with the provisions of the Sanitary district Act of 1936, 70 ILCS 2805/0.1 et seq., as amended and supplemented, and that the Board has complied with all of the provisions of said Acts and with all of the procedural rules of the Board.

               IN WITNESS WHEREOF, I hereunto affix my official signature and the seal of the Holiday Shores Sanitary district this April 14, 2021.
